About us
Dmail
Group S.p.A. was founded in December 1999
as the result of the joint venture between
D-Mail - Italy's leading company in distant
sales (catalogue and on-line) and Pocket
Power, specialised in retailing thanks to
a network of single and multibrand retailers.
On
December 22, 2000, following Initial
Public Offering, the company captured the
New Market on Italy's Stock Exchange.
In
2001, through Dmedia Group - the wholly
owned subsidiary - Dmail Group took over
the newspapers network of Netweek Group,
made up of 14 community newspapers in Lombardy.
Since
May 13, 2004 Dmail Group has been listed
in Techstar sector of the New Market.
On
June 30, 2004, a syndicate made up of:
- Banfort Lda (Mr. Gianluigi Viganò)
- Lumbini s.r.l. (Mr. Adrio Maria de Carolis)
- Norfin s.p.a. (De Nora Group)
- Smeraldo s.r.l. (Percassi Group)
took over 46.12% of Dmail Group at a price
worth 2.758 per share. Consequently,
a mandatory Tender Offer was set at the
price of 2.93 per share. 0.888% of the capital
has been tendered so far.
On March 14, 2005, the operation
of allotment was carried out, as approved
at the extraordinary meeting of January
25, 2005, of the minority share quotas belonging
to the controlled Gidiemme Stampa S.r.l
in Dmail Group S.p.A. Following this operation,
the company share capital amounts to 15,300,000.00
Euro represented by 7,650,000 ordinary shares.
On 19 September 2005 the Dmail Group became part of the Italian Stock Exchange's Star Segment.
